· These risks and opportunities and are continuously measured against the risk appetite and risk bearing capacity determined by the Board.

· ICM Holdings' size and influence enables it to acquire significant stakes in entities that are big enough to have a material effect on ICM Holdings' results.
· A strong low-geared statement of financial position enables ICM Holdings to make new investments or to increase its stake in well-performing investments, or find growth by means of shareholder loans.
· ICM Holdings has the ability to add value to investee companies by means of skilled and experienced executives.
How Investments Are Managed
ICM Holdings manages its investments on a decentralised basis and its involvement is mainly focused on the provision of support rather than on being involved in the day-to-day management of business units of the investees. The ICM Holdings' Board considers it in the best interest of all the parties concerned to respect the decentralised business model and the fact that these businesses are conducted in separate legal entities. The support provided to investee companies can either be in the form of strategy, financial, managerial or the creating of an environment for corporate transactions.
Shareholders Agreements will be in place for ICM Holdings' Associates and Joint Ventures where there are also other major shareholders involved. These agreements will protect all the shareholders' rights and also manage risks. In terms of these agreements, ICM Holdings will have decision-making involvement for a defined list of material matters of the businesses of these entities such as the appointment or removal of Directors, Capital Structure, Business Strategy, large capital expenditure and Mergers & Acquisitions/Disposals.
